Li Zhijiang

Mr. Li is primarily responsible for the overall strategic planning and development of the Group.

Mr. Li is one of the founders of the Group and has over 20 years of experience in the clinical and orthopedic industry.

Mr. Li completed the Executive MBA Programme and obtained a Master of Business Administration (MBA) from China

Europe International Business School in August 2014.

Audit Committee

The Company has established an audit committee on 2017. The primary duties of the audit committee are to review and supervise the Company financial reporting process and internal control and risk management system, nominate and monitor external auditors and to provide advice and comments to the Board on matters related to corporate governance.

Audit committee consists of three members, being Mr. Kong Chi Mo, Mr. Li Shu Wing David and Mr. Wang David Guowei. Mr. Kong Chi Mo currently serves as the chairman of audit committee of the Company.

Remuneration Committee

The Company has established a remuneration committee on 2017. The primary duties of the remuneration committee are to make recommendations on the remuneration of our senior management and to recommend members of the Board.

Remuneration committee consists of three members, being Mr. Li Shu Wing David, Mr. Kong Chi Mo and Mr. Li Zhijiang. Mr. Li Shu Wing David currently serves as the chairman of remuneration committee of the Company.

Nomination Committee

The Company has established a nomination committee on 2017. The primary duties of the nomination committee are to make recommendations to our Board regarding candidates to fill vacancies on the Board and/or in senior management.

Nomination committee consists of three members, being Mr. Li Zhijiang, Mr. Li Shu Wing David and Mr. Wang David Guowei. Mr. Li Zhijiang currently serves as the chairman of our nomination committee of the Company.

COMMUNICATION WITH SHAREHOLDERS

a. Enquiries about Shareholdings

The Board will maintain an on-going dialogue with the shareholders and will review shareholders鈥 communication policy regularly to ensure its effectiveness. Shareholders may at any time make a request for the Company鈥檚 information to the extent such information is publicly available.

Shareholders will be provided with designated contacts, email addresses and enquiry telephone number of the Company in order to enable them to make any query in respect of the Company.

b. Corporate Communication: 鈥淐orporate Communication鈥 as defined under the Listing Rules will be provided to shareholders in plain language and in both English and Chinese versions to facilitate the shareholders鈥 understanding. Shareholders have the right to choose the language (either English or Chinese) or means of receipt of the Corporate Communication (in hard copy of through electronic means). Shareholders are encouraged to provide, among other things, in particular, their email addresses to the Company in order to facilitate timely and effective communications.

c. Corporate Website: A dedicated investor relations section is available on the Company鈥檚 website at http://ak-medical.net. Information on the Company鈥檚 website is updated on a regular basis. Information released by the Company to the Stock Exchange is also posted on the Company鈥檚 website immediately thereafter. Such information includes financial statements, results announcements, circulars and notices of general meetings and associated explanatory documents etc. All presentation materials provided in conjunction with the Company鈥檚 annual general meeting and results announcement each year will be made available on the Company鈥檚 website. All press releases and shareholders鈥 newsletters will be made available on the Company鈥檚 website.

d. Printed version request form: Shareholders of the Company are entitled to receive printed version(s) of the Corporate Communications of the Company by completing the Request Form(Download) and return it to the Company's Share Registrar, MUFG Corporate Markets Pty Limited at Suite 1601, 16/F, Central Tower, 28 Queen's Road Central, Hong Kong or by email with a scanned copy of the completed Request Form to hkenquiries@cm.mpms.mufg.com.

e. Shareholders’ Meetings: Shareholders are encouraged to participate in general meetings or to appoint proxies to attend and vote at the meetings for and on their behalf if they are unable to attend the meetings. Appropriate arrangements for the annual general meetings will be in place to encourage shareholders鈥 participation. The process of the Company鈥檚 general meeting will be monitored and reviewed on a regular basis, and if necessary, changes will be made to ensure that shareholders鈥 needs are best served. Board members, in particular, the chairmen of Board committees or their delegates, appropriate senior management and the external auditors will attend annual general meetings to answer Shareholders鈥 questions. Shareholders are encouraged to attend shareholders鈥 activities organized by the Company, where information about the Company, including its latest strategic plan, products and services will be communicated.

f. Shareholder Privacy

The Company recognizes the importance of shareholders鈥 privacy and will not disclose shareholders鈥 information without their consent, unless required by law to do so.
